Working Hours: 11:30 AM – 8:30 PM IST
Core Hours: 6:30 PM – 8:30 PM IST

Role Summary

Finalsite is seeking an experienced Company Secretary to lead the statutory and corporate compliance requirements for its India entity.

The role will also support global HR, Finance, Payroll and Legal teams by coordinating international compliance activities with external advisors and vendors. The Company Secretary will serve as a central point of coordination for global compliance and tax-related matters while ensuring timely statutory compliance in India.

Key Responsibilities

India Corporate Secretarial

  • Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
  • Manage all MCA/ROC filings, statutory registers, annual returns and corporate records.
  • Prepare Board and Shareholder meeting notices, agendas, minutes and resolutions.
  • Coordinate with auditors, legal counsel and external Company Secretaries.
  • Monitor statutory deadlines and ensure timely compliance.
  • Identify timelines and deadlines for Board and Shareholder meetings and ensure that meetings are conducted in compliance with statutory requirements.
  • Prepare Board meeting materials, including notices, agendas, notes, Board meeting scripts, minutes and supporting documentation where applicable.
  • Manage communications with directors, including distribution of notices and timely follow-up for signatures on circular resolutions, replies and other documents.
  • Assist with director appointments, resignations and changes in designation, including collection and execution of required consent forms such as DIR-2, MBP-1 and DIR-8.
  • Handle statutory filings required by the Ministry of Corporate Affairs (MCA) or local authorities, with a focus on 100% on-time submission.
  • Maintain and update statutory registers and records as required under the Companies Act.
  • Proactively track and manage compliance timelines for corporate filings to prevent penalties.
  • Provide general support to the Legal team on administrative and operational matters.

Qualifications

Professional Qualification

Qualified Company Secretary (CS) and an Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI) with a valid ACS/FCS Membership Number.

Experience

4–6 years of relevant post-qualification experience in corporate secretarial and statutory compliance.

Legal Knowledge

Strong knowledge of the Companies Act, 2013, MCA/ROC filings and corporate governance.

Stakeholder Coordination

Experience coordinating with external auditors, legal firms and consultants.

Communication

Excellent verbal and written communication skills with the ability to work effectively with global stakeholders, external advisors and senior leadership.

Organization & Problem Solving

Strong organizational, stakeholder management and problem-solving skills.

Software Skills

Proficiency in Microsoft Office and Google Workspace.

Global Experience

Experience working with multinational organizations and managing multiple priorities in a fast-paced environment.
